Terms of Service
Last Updated: October 14, 2026 — pending confirmation.
1. Introduction & Acceptance of Terms
These Terms of Service ("Terms") govern your access to and use of the PHLP ROEW website, online store, digital content, and related services (the "Website"), including purchases of products offered through the Website.
PHLP ROEW ("PHLP ROEW," "Company," "we," "us," or "our") is operated by PHLP ROEW, a [State and Type of Legal Entity] organized under the laws of [State], United States, with its principal business address at 30 N Gould St, Sheridan, Wyoming 82801, United States.
By accessing the Website, creating an account, or placing an order, you acknowledge that you have read and understood these Terms and agree to be bound by them, together with the policies expressly incorporated into these Terms. These Terms should be read together with our Privacy Policy and our separate Shipping and Returns & Exchange policies.
If you do not agree to these Terms, you must discontinue use of the Website and refrain from placing an order. These Terms apply to customers in the United States and, where PHLP ROEW accepts orders, customers in eligible international markets. Mandatory consumer rights under applicable laws remain unaffected.
2. Eligibility & Customer Accounts
You must be at least eighteen (18) years old, or the age of legal majority in your jurisdiction if higher, to make purchases through the Website or create a customer account. By placing an order, you represent that you satisfy the applicable age requirement and have the legal capacity to enter into a binding agreement.
Certain Website features may require an account. You agree to provide accurate, complete, and current information and to update it when necessary. You are responsible for maintaining the confidentiality of your account credentials and for taking reasonable steps to prevent unauthorized access. Notify us promptly at Support@phlproew.com if you suspect unauthorized access to your account.
PHLP ROEW may permit purchases without account registration (guest checkout); such orders still require accurate information to process payment, fulfill the order, and communicate about it.
We may suspend, restrict, or terminate an account where reasonably necessary to address suspected fraud, unauthorized activity, material violations of these Terms, security risks, or unlawful conduct. Where appropriate and legally permitted, we will provide notice or an opportunity to resolve the issue. Account restrictions will not eliminate rights relating to existing orders or statutory consumer protections that cannot lawfully be excluded.
3. Products, Descriptions & Availability
We make reasonable efforts to provide accurate product descriptions, photographs, materials information, dimensions, colors, and other specifications. Product images are illustrative; actual products may differ slightly due to lighting, photography, screen calibration, and ordinary production variation. Measurements and weights are approximate unless stated otherwise.
Genuine leather and suede are natural materials, and each hide may possess distinct characteristics — differences in grain, pores, texture, surface markings, color, shade, softness, finish, natural creases, and minor irregularities, as well as changes in color, texture, or patina from ordinary use, light exposure, or aging. These characteristics contribute to the individuality of a natural-material product and do not by themselves constitute a manufacturing defect — but they do not excuse material misrepresentation, damage existing at delivery, defective workmanship, or failure to meet applicable legal requirements.
Products may be manufactured using artisanal, handcrafted, or small-batch processes; minor differences in stitching, hardware placement, finish, or dimensions may occur within reasonable manufacturing tolerances. This does not limit any non-waivable rights relating to defective, damaged, counterfeit, or materially misdescribed products.
All products are subject to availability; a product's presence on the Website does not guarantee availability when an order is submitted. We may discontinue products, change specifications, limit quantities, or restrict availability by location, subject to applicable law and our obligations on orders already accepted.
PHLP ROEW may in future expand into men's and women's clothing, fashion accessories, and other luxury goods; where it does, listings will include sizing, fit, fabric composition, dimensions, and care information as applicable, in accordance with the laws governing those products and markets.
4. Pricing, Taxes & Payment
Unless otherwise stated, Website prices are in United States dollars (USD). Prices, availability, promotions, and offers may change without prior notice before an order is accepted; changes will not retroactively alter an accepted order except where permitted or required by law. If an obvious pricing or product-information error occurs, we may contact you to explain it and, where legally permitted, cancel or decline the order before acceptance or take another lawful corrective measure.
Applicable sales and transaction taxes are calculated and collected where required by law. For international orders, customs duties, import taxes, brokerage fees, and other destination-related charges may apply and, unless expressly stated otherwise, may be your responsibility where not collected by PHLP ROEW at checkout.
Payment methods are shown at checkout and may be processed by third-party payment providers. Submitting an order authorizes the applicable provider to process the displayed amount, including tax and shipping; authorization alone does not constitute acceptance of the order.
We may use reasonable payment verification, identity verification, fraud-screening, and transaction-monitoring measures, and may request additional information to verify a transaction or investigate suspected unauthorized activity, subject to applicable law. A declined, reversed, or potentially unauthorized payment may result in delayed processing, decline, or cancellation where legally permitted.
You agree to provide accurate billing information and to use only payment methods you are authorized to use. Nothing here prevents you from disputing a genuinely unauthorized or incorrect transaction, or exercising a legal right available through your payment provider or applicable law. We reserve the right to investigate suspected fraudulent chargebacks or other unlawful transaction activity.
5. Order Placement, Acceptance & Cancellation
Submitting an order is an offer to purchase the selected products under these Terms. An automated order confirmation acknowledges receipt only and is not necessarily final acceptance; an order is accepted when we issue an order-acceptance or shipment confirmation, or otherwise clearly communicate acceptance.
Before accepting an order, we may review availability, payment status, delivery information, pricing, and potential fraud or security concerns, and to the extent permitted by law may decline or cancel an order where a product is unavailable, information or pricing contains a material error, payment cannot be authorized or verified, the order shows reasonable indicators of fraud, delivery to the destination is unavailable or restricted, or the order otherwise violates these Terms or applicable law. Where payment has already been captured for a cancelled order, we will arrange a refund in accordance with applicable law.
Cancellation requests should be sent promptly to Support@phlproew.com with the order number; cancellation may not be possible once an order has entered fulfillment or shipped, in which case it is generally handled under our returns policy, subject to applicable law. Changes to product selection, delivery address, or other order details may not be possible after acceptance or once fulfillment has begun — contact us as soon as possible and we will accommodate requests where operationally feasible, without guarantee.
6. Shipping, Delivery, Returns & Exchanges
Shipping methods, delivery estimates, return eligibility, authorization procedures, exchanges, and refund procedures are governed by our separate Shipping and Returns & Exchange policies, incorporated into these Terms by reference. Review them before ordering; where a specific provision there governs a shipping, return, exchange, or refund matter, it governs to the extent of that provision, subject to applicable law.
Delivery dates are estimates unless expressly guaranteed in writing, and may be affected by carrier delays, customs processing, weather, or other circumstances beyond reasonable control, without excluding remedies available under applicable law. You must provide a complete and accurate shipping address; for high-value orders we may use signature confirmation, tracking, or other reasonable loss-prevention measures disclosed at checkout.
Returns follow the authorization and submission procedures in our Returns & Exchange policy. We may request order details, photographs, or other reasonable evidence to investigate a return or suspected fraudulent claim, and may inspect returned products to verify identity, condition, and authenticity — in accordance with applicable law, and never to deny a valid refund, warranty remedy, or other mandatory right. Approved refunds are generally issued to the original payment method unless another method is agreed or required by law.
7. Product Warranties & Disclaimers
Any express product warranty will be described in the applicable listing, documentation, or separate written warranty — review it for duration, coverage, exclusions, and remedies.
Unless covered by an applicable express warranty or required by law, ordinary wear, expected aging, patina, misuse, accidental damage, improper storage, unsuitable exposure, unauthorized alterations, and failure to follow supplied care instructions may not be covered. A natural material's ordinary characteristics are not, by themselves, proof of a defect.
To the maximum extent permitted by applicable law, PHLP ROEW disclaims implied warranties, including merchantability and fitness for a particular purpose, where such disclaimers are legally permitted. Some jurisdictions do not allow certain implied-warranty exclusions; there, the limitation applies only to the extent permitted. Nothing here excludes or limits an express warranty or consumer right that cannot legally be excluded.
8. Intellectual Property & Brand Protection
The PHLP ROEW brand and Website contain valuable intellectual property, including our name, trademarks, logos, and brand identifiers; monograms, distinctive hardware, product identifiers, and eligible original designs; product photography, campaign imagery, video, and written descriptions; Website design, graphics, and layouts; and other materials protected by applicable intellectual property law. These are owned by PHLP ROEW, its affiliates, or licensors. Purchasing a product does not transfer ownership of the intellectual property associated with it.
We grant you a limited, revocable, non-exclusive, non-transferable permission to access and use the Website for lawful personal shopping and informational purposes. Except where expressly permitted by law or authorized by us in writing, you may not reproduce, distribute, modify, publish, commercially exploit, or create derivative works from our protected content, or use our branding or materials in a way that suggests sponsorship, affiliation, or endorsement without permission.
You may not manufacture, commission, market, distribute, or sell counterfeit products bearing PHLP ROEW branding, or use our intellectual property to mislead customers about a product's origin, authenticity, or authorization. We may investigate suspected counterfeit activity and take lawful measures to protect the brand and our customers, and may use reasonable product identifiers or records to investigate suspected product substitution, counterfeit returns, or unauthorized transactions.
Report suspected infringement to Legal@phlproew.com with your contact details, identification of the protected material, the location of the allegedly infringing content, and enough information to explain the concern.
9. Prohibited Activities & Website Misuse
You agree not to use the Website for unlawful, fraudulent, deceptive, or unauthorized purposes; provide materially false account, payment, billing, or delivery information; attempt unauthorized access to Website systems, accounts, or restricted information; interfere with the security, integrity, or operation of the Website; introduce malware or other harmful code; scrape, harvest, or systematically collect Website content or product data without authorization except as permitted by law; use our branding, imagery, or descriptions for unauthorized commercial activity; misrepresent yourself as an authorized retailer, representative, or partner of PHLP ROEW; engage in fraudulent payment disputes, product substitution, return fraud, or other dishonest transaction practices; or infringe our or a third party's intellectual property, privacy, or other legal rights.
Where reasonably necessary and legally permitted, we may investigate suspected misuse, restrict access, refuse or cancel orders, preserve relevant records, or refer suspected unlawful conduct to the appropriate authorities.
10. Privacy & Personal Information
We process personal information in accordance with our Privacy Policy, which describes the information we collect, how and why we use it, disclosures to service providers and others, cookies and tracking, marketing communications, retention, security, and your privacy rights. Nothing in these Terms constitutes consent to cookies, targeted advertising, or marketing communications where separate consent is legally required.
11. Third-Party Services & Links
The Website may use or link to third-party services — payment processors, shipping carriers, analytics providers, advertising platforms, social media, and other external sites or tools — which may be subject to their own terms and privacy practices. We do not control independent third-party sites and are not responsible for their content or practices except to the extent responsibility cannot legally be excluded; a link's presence does not imply our endorsement.
12. Limitation of Liability
To the maximum extent permitted by applicable law, PHLP ROEW and its affiliates, officers, employees, agents, and service providers will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, including loss of profits, revenue, business opportunities, data, or goodwill, arising out of or relating to the Website or a purchase. To the same extent, our total aggregate liability arising out of or relating to a particular order will not exceed the amount paid to PHLP ROEW for the product(s) giving rise to the claim.
These limitations apply only to the extent legally enforceable and do not exclude or limit liability, or any non-waivable consumer right, where such exclusion or limitation is prohibited by law. Some jurisdictions do not allow certain limitations of liability; there, this section applies only to the extent permitted.
13. Indemnification
To the extent permitted by applicable law, you agree to indemnify and hold harmless PHLP ROEW and its affiliates, officers, employees, and agents from third-party claims, liabilities, losses, and reasonable expenses arising directly from your unlawful use of the Website, material breach of these Terms, or infringement of another person's rights — except to the extent a claim results from our own unlawful conduct or where applicable law prohibits such an obligation.
14. Dispute Resolution & Governing Law
If you have a concern, complaint, or dispute regarding the Website, an order, or these Terms, contact us at Legal@phlproew.com with enough information to identify the issue; we encourage attempting informal resolution first, though this does not prevent either party from exercising a legal right or meeting a filing deadline.
These Terms are governed by the laws of [Selected U.S. State], without regard to conflict-of-law principles, except where the mandatory consumer protection laws of another jurisdiction apply. Subject to applicable law, disputes proceeding in court may be brought in the state or federal courts located in [County, State]; nothing here prevents a consumer from bringing a claim in another court where applicable law grants that right.
These Terms do not currently impose mandatory arbitration or a class-action waiver. If PHLP ROEW adopts either in future, it will be drafted and reviewed separately to address enforceability, consumer notice, procedures, fees, small-claims rights, and any required opt-out mechanism.
15. International Sales & Import Requirements
We may offer delivery to selected international destinations; availability, payment methods, delivery options, taxes, duties, and import restrictions may differ by destination. You are responsible for providing accurate delivery information and complying with applicable import requirements, subject to obligations imposed on us by law. Unless expressly stated otherwise at checkout or in our Shipping policy, you may be responsible for customs duties, import taxes, and destination-related fees not collected by PHLP ROEW. We may decline or cancel orders where delivery is unavailable, a transaction cannot lawfully be completed, or applicable restrictions prevent fulfillment. International customers may have mandatory rights under the laws of their country of residence, which these Terms do not waive or restrict.
16. Accessibility & Website Availability
We aim to provide a usable online shopping experience and will address applicable accessibility obligations as required by law. We do not guarantee uninterrupted availability or that every technical issue can be prevented, and may maintain, update, modify, suspend, or discontinue Website features where reasonably necessary — without excluding any accessibility obligation or other legal duty that applies to us.
17. Changes to These Terms
We may update these Terms to reflect changes to our products, services, operations, or legal requirements. Revised Terms will be published here with an updated "Last Updated" date, and material changes will be communicated through an appropriate method where required by law. Unless otherwise stated or legally required, revisions apply from their effective date and do not retroactively modify rights in a manner prohibited by law. Continued use of the Website after revised Terms take effect constitutes acceptance only to the extent permitted by applicable law.
18. General Provisions
Severability. If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain effective to the extent permitted by law.
No Waiver. A failure or delay by PHLP ROEW in enforcing a provision does not waive that provision or any other right.
Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent, except where prohibited by applicable law. We may assign these Terms in connection with a merger, reorganization, corporate transaction, or transfer of relevant business assets, subject to applicable law.
Entire Agreement. These Terms, together with the Privacy Policy, Shipping policy, Returns & Exchange policy, and any other policies expressly incorporated by reference, govern the subject matter addressed here, except where a separate written agreement expressly supersedes them.
Events Beyond Reasonable Control. PHLP ROEW is not responsible for delays or failures caused by circumstances beyond its reasonable control, except where applicable law provides otherwise, including natural disasters, carrier disruptions, government restrictions, infrastructure failures, or other significant operational interruptions.
Headings. Section headings are included for convenience and do not affect the interpretation of these Terms.
